CORPORATE FINANCE
Corporate finance work represents a significant portion of work of our Corporate and Commercial Department. Work covers various forms of corporate fund raising and initial public offerings which include "B" share and "H" share issues, Main Board and GEM Board listings on the Hong Kong Stock Exchange.

With the firm's strong roots in cross-border legal work between Hong Kong and China, we are an ideal candidate to represent China state enterprises and Hong Kong corporations which have operations in China seeking listings in Hong Kong.

In the past years we have handled a significant number of listings in Hong Kong which include the listing of the following "H" shares and "Red Chips" :

CIG-WH International (Holdings) Limited

("Red Chip")

Founder (Hong Kong) Limited

("Red Chip")

Jingwei Textile Machinery Company Limited

("H" Share)

Anhui Expressway Company Limited

("H" Share)

Anhui Conch Cement Company Limited

("H" Share)

Sinopec Kantons Holdings Ltd.

("Red Chip")

The recent I.P.O. works include:

Hembly International Holdings Limited

("Red Chip")

Jutal Offshore Oil Services Limited

("Red Chip")

Wuyi International Pharmaceutical Company Limited

("Red Chip")

Tianneng Power International Limited

(“Red Chip”)

The corporations we represented in their listing cover a wide range of business activities - from cement production to toy, watch, garment and electronic goods manufacturing; from expressway to software programming; from construction to oil trading and distribution and from transportation to pharmaceutical production and distribution.

With China's accession to the WTO, more private and state enterprises in China will look eagerly to Hong Kong as a financial centre to raise funds to fuel their expansion activities, and our corporate finance lawyers will have a more significant role to play in this new era.
